Welcome to LOYALLT (the PRODUCT) owned and operated by Time for Team Technology, Inc. (the COMPANY). These Terms of Service (the TERMS) govern your use of the PRODUCT. Please read these TERMS carefully before using our PRODUCT.

By accessing or using this PRODUCT, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use this PRODUCT.

- Harassment and Abuse: You may not use this PRODUCT to harass, abuse, or harm another person, group, or entity. This includes, but is not limited to, stalking, threatening, bullying, or sending unsolicited messages.
- Intellectual Property Infringement: You may not upload, post, or otherwise distribute content that infringes on the intellectual property rights of others, including but not limited to copyrights, trademarks, patents, and trade secrets.
- Spamming: You may not use this PRODUCT to send unsolicited advertisements, promotional materials, or other forms of solicitation (commonly known as "spam") to any other users or third parties.
- Misrepresentation and Fraud: You may not impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, or create a false identity to mislead others.
- Malicious Software: You may not upload, post, or otherwise distribute content that contains viruses, worms, trojan horses, spyware, adware, or any other malicious code designed to disrupt, damage, or limit the functionality of any software, hardware, or telecommunications equipment.
- Data Harvesting: You may not use any automated means, including robots, spiders, or other data mining tools, to scrape, collect, or otherwise extract data from the PRODUCT for any unauthorized purpose.
- Interference with Services: You may not interfere with or disrupt the operation of our website, servers, or networks connected to our website, including by overloading, flooding, spamming, or crashing our systems.
- Privacy Violations: You may not use our website to collect, store, or distribute personal data about other users without their explicit consent or in a manner that violates applicable privacy laws.
- Discriminatory Content: You may not post or share content that promotes discrimination, bigotry, racism, hatred, or violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic.
- Adult Content: You may not post or share any obscene, pornographic, or sexually explicit content.

Violation of any of these prohibitions exceeds any authority granted to you, and may result, at our absolute discretion, in the immediate suspension or termination of your access to our PRODUCT. We reserve the right to take appropriate legal action, including alerting law enforcement and seeking any available equitable and legal relief.

Data Accuracy
You are responsible for ensuring the accuracy, completeness, and reliability of the data you enter into the PRODUCT. The COMPANY shall not be liable for any errors or inaccuracies in information provided by you or resulting from your failure to maintain accurate and updated data.
Third-Party Services
If the PRODUCT integrates or offers third-party services, you agree that the COMPANY is not responsible for the performance, compliance, or acts of these third parties. Such services may have their own terms of use and privacy policies, and your use of these services will be governed by and subject to such terms and conditions.
Conflict Resolution: Mandatory Mediation and Arbitration
Before engaging in arbitration, the parties agree to attempt to resolve disputes through good faith negotiation and mandatory mediation. If unresolved, disputes must be submitted to binding arbitration according to the rules set forth in the "Dispute Resolution" section of these Terms.
Modifications to Services
The COMPANY reserves the right to modify, suspend, or discontinue the PRODUCT or any service to which it connects, with or without notice, and without liability to you or any third party.
No Partnership or Agency
Nothing in these TERMS shall be construed as creating a partnership, contract of employment, or agency relationship between you and the COMPANY. You do not have any authority to create any obligation, representation, or warranty on behalf of the COMPANY.
Force Majeure
The COMPANY will not be liable for any failure to perform its obligations under these TERMS if such failure results from any condition beyond its reasonable control, including but not limited to, natural disasters, acts of government, pandemics, labor conditions, and power failures.
Indemnification
You agree to indemnify, defend, and hold harmless the COMPANY and its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the PRODUCT, your violation of these TERMS, or your violation of any rights of another.
Limitation of Liability
In no event will the COMPANY, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the PRODUCT; (ii) any conduct or content of any third party on the PRODUCT; (iii) any content obtained from the PRODUCT; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
Termination
The COMPANY may, in its sole and absolute discretion, and with or without cause, terminate or suspend your access or use of the PRODUCT, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these TERMS.
Governing Law and Venue
These TERMS shall be governed and construed in accordance with the laws of Florida, without regard to its conflict of law provisions exclusive jurisdiction and venue shall be in the federal or state courts closest to Palm Beach County, Florida.
Dispute Resolution, Arbitration and Class Arbitration Waiver
You agree that any disputes arising from or relating to the subject matter of these TERMS shall be finally settled by arbitration in Palm Beach County, Florida, in accordance with the Commercial Rules of Arbitration of the American Arbitration Association. You further agree that any disputes arising from this Agreement shall be made individually and that not through any mass, collective or class arbitration.
Miscellaneous
- Severability: If any provision of these TERMS is held to be invalid or unenforceable, that part will be deemed severed, and the remaining provisions will remain in effect.
- Waiver: No waiver of any of the provisions of these TERMS will be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure of the COMPANY to assert a right or provision under these TERMS shall not constitute a waiver of such right or provision. Waiver of any specific term or condition must be acknowledged and agreed to in writing by the COMPANY.
